Terms of Service

By accessing or using Curiosity Lab's website, services, or entering into a service agreement with us, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, clients, and others who access or use our services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of the revised terms.

Curiosity Lab provides premium AI engineering, custom software development, DevOps consulting, and related technology services. Our services are available to businesses and individuals who:

• Are at least 18 years of age or have parental/guardian consent.
• Have the legal authority to enter into binding contracts on behalf of their organization.
• Agree to use our services only for lawful purposes.

You may not use our services to violate any applicable laws, infringe on intellectual property rights, transmit harmful content, or engage in any activity that disrupts our systems or third-party services.

As a client or user of Curiosity Lab's services, you are responsible for:

• Providing accurate, complete, and up-to-date information for project requirements.
• Ensuring timely communication and feedback during development cycles.
• Maintaining the confidentiality of any credentials or access tokens provided to you.
• Complying with all applicable laws and regulations in your use of our deliverables.
• Promptly notifying us of any security breaches or unauthorized access to your account.
• Ensuring you have the legal rights to any content, data, or assets you provide to us.

Unless otherwise agreed in writing, the following intellectual property arrangements apply:

Client-Owned IP

Upon receipt of full payment, clients receive ownership of custom-developed code, designs, and deliverables specific to their project as outlined in the project agreement.

Curiosity Lab IP

Curiosity Lab retains ownership of:

• Proprietary frameworks, tools, and libraries used in development.
• General-purpose code components and development utilities.
• Our brand, logo, website content, and marketing materials.
• Any pre-existing intellectual property incorporated into your project.

Clients receive a license to use Curiosity Lab's proprietary components within the scope of the delivered project.

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This includes:

• Business strategies, financial information, and technical specifications.
• Client data, user information, and database schemas.
• Our methodologies, processes, and proprietary systems.

Confidentiality obligations remain in effect for a period of 3 years following project completion, unless otherwise specified in a separate Non-Disclosure Agreement (NDA). We are happy to execute custom NDA arrangements upon request before project commencement.

Payment terms are established in individual project agreements. General terms include:

• Project fees are agreed upon before work commences.
• Milestone-based payments are common for larger projects.
• Invoices are due within 30 days of issuance unless otherwise agreed.
• Late payments may incur interest at 1.5% per month on outstanding balances.
• Disputes regarding invoices must be raised within 14 days of receipt.

To the maximum extent permitted by applicable law, Curiosity Lab shall not be liable for:

• Indirect, incidental, special, or consequential damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages arising from third-party services, APIs, or infrastructure failures.
• Losses caused by unauthorized access to your systems.

Our total liability to you for any claims arising under these terms shall not exceed the total fees paid by you to Curiosity Lab in the three months preceding the claim.

Curiosity Lab provides its services on an "as is" and "as available" basis. We make reasonable efforts to deliver high-quality work but do not warrant that:

• Our services will be uninterrupted or error-free.
• Deliverables will meet every specific requirement not explicitly documented.
• Third-party services or APIs we integrate will remain available or functional.

We do warrant that we will perform services with reasonable care and skill, and that deliverables will substantially conform to agreed specifications.

Either party may terminate a service agreement with written notice under the following conditions:

• By the client: With 30 days written notice. Payment is due for all work completed to the termination date.
• By Curiosity Lab: If the client breaches these terms, fails to make payment, or engages in conduct harmful to our team or reputation.

Upon termination, we will provide all completed deliverables and relevant project files. Provisions regarding intellectual property, confidentiality, and payment obligations survive termination.

These Terms of Service shall be governed by and construed in accordance with the laws of India, specifically the jurisdiction of Bengaluru, Karnataka. Any disputes arising from these terms shall be resolved through:

• First, good-faith negotiation between the parties.
• If unresolved, mediation through a mutually agreed mediator.
• Finally, binding arbitration under the Arbitration and Conciliation Act, 1996.

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. For existing clients with active projects, material changes will be communicated via email with 30 days notice before taking effect.

Your continued engagement of our services after changes are posted constitutes acceptance of the new terms.
